GENERAL TERMS AND CONDITIONS OF PURCHASE

 

  1. Purpose

These General Terms and Conditions of Purchase (hereinafter, the “Conditions”) govern all acquisitions of goods and services made by Barranquesa Anchor Cages S.L.U. (hereinafter, the “Buyer”) from its suppliers (hereinafter, the “Supplier”). These Conditions shall prevail over any other general or specific conditions of the Supplier, unless expressly agreed in writing by the Buyer.

 

  1. Order acceptance

The order shall only be valid if formalised through a Purchase Order issued by the Buyer. Acceptance of the order by the Supplier implies full acceptance of these Conditions. Any modification or reservation must be expressly approved in writing by the Buyer.

 

  1. Prices

The prices indicated in the Purchase Order shall be firm and non-revisable unless otherwise agreed. They shall be understood as fixed and net prices and include the agreed transport, packaging, insurance, duties, and taxes, except for VAT, which shall be indicated separately.

 

  1. Delivery deadlines

The dates indicated in the Purchase Order must be strictly met. The Supplier shall immediately inform the Buyer of any possible delay, stating the reasons and the new expected delivery date. In the event of a delay, the Buyer may terminate the contract in whole or in part without penalty and without prejudice to claiming any damages incurred.

 

  1. Delivery and transport

Deliveries shall be made as agreed in writing by the parties. The goods shall be delivered properly packaged and protected. The Supplier shall be responsible for any damage or loss until final receipt at destination.

 

  1. Documentation

Each shipment must be accompanied by a delivery note and, where applicable, quality certificates, drawings, technical data sheets, instructions, declarations of conformity, and any other documentation required by the order or applicable regulations. The Purchase Order number must be indicated on the order confirmation, delivery note, and invoice.

 

  1. Quality and conformity

Goods and services must strictly comply with the technical specifications, drawings, quality standards, and applicable legal requirements.
The Buyer may reject, in whole or in part, any products that do not meet the requirements, and the Supplier shall be obliged to replace or repair them immediately at no cost.

 

  1. Inspection and acceptance

The Buyer may inspect the products or the Supplier’s facilities before, during, or after manufacture, without releasing the Supplier from its responsibility. Final acceptance will be subject to verification of compliance with the order requirements.

 

  1. Invoicing and payment

Invoices must be issued in accordance with current legislation and must indicate the Purchase Order number. Payment will be made within the term agreed in the Purchase Order, counted from the invoice date. Payment does not imply acceptance of the goods nor a waiver of future claims. Invoices must be sent to the email address indicated on the Purchase Order within 5 days of dispatch of the material.

 

  1. Warranty

The Supplier guarantees the products and services for a minimum period of 12 months from receipt or final installation (whichever occurs later). During this period, the Supplier must repair or replace, at no cost, any defect or non-conformity.

 

  1. Liability

The Supplier shall be responsible for all direct and indirect damages arising from product defects, non-compliance, or delays in delivery. The Supplier shall also maintain adequate liability insurance suited to the nature of the supplies.

 

  1. Confidentiality

The Supplier undertakes to maintain strict confidentiality regarding all information received from the Buyer and not to disclose or use it for purposes other than performing the order. All drawings, models, samples, or documents provided by the Buyer shall remain its property and may not be copied, transferred, or used for other purposes without prior authorisation.

 

  1. Regulatory compliance

The Supplier declares that it complies with all applicable labour, environmental, industrial safety, and human rights legislation, and undertakes to observe ethical and sustainable practices.

 

  1. Termination

The Buyer may terminate the contract in the event of non-compliance with these Conditions or the Purchase Order, without prejudice to claiming the corresponding damages.

 

  1. Jurisdiction and applicable law

These Conditions are governed by Spanish law. Any dispute arising from the interpretation or execution of the order shall be submitted to the Courts of Pamplona, expressly waiving any other jurisdiction.
